Net Worth: The individual must have a net worth exceeding a certain threshold, often $1 million, either alone or together with a spouse, excluding the value of their primary residence.

OR

Income: The individual must have earned income exceeding a specific amount, typically $200,000 (or $300,000 together with a spouse) in each of the last two years, and must reasonably expect the same income level in the current year.

A qualified investor, also known as an accredited investor, is an individual or entity that meets specific financial criteria set by regulatory bodies, allowing them to invest in high-risk, high-reward opportunities not available to the general public. These criteria typically include having a net worth exceeding $1 million, excluding the primary residence, or an annual income of at least $200,000 (or $300,000 with a spouse) for the past two years, with expectations of the same in the current year. Additionally, certain entities with over $5 million in assets or professional certifications may qualify.
